Terms of service

The proposed agreement between Logpagia and the organizations that use it: accounts, acceptable use, customer data, billing, AI features, liability and termination.

Status and scope

This page is a review draft. Reading, linking to or relying on it creates no contract, subscription or other agreement with Logpagia. The final terms apply once an organization accepts them when it signs up or signs an order.

The contracting entity, its registered address and the effective date are added here by the owner before these terms take effect.

Definitions

These terms use the following words with the meanings below.

  • Customer: the organization that creates a Logpagia workspace and accepts these terms.
  • Workspace: the customer’s organization account and the products enabled in it.
  • User: a person the customer invites or allows to use the workspace, including employees, administrators and contractors.
  • Customer Data: everything the customer and its users submit to the Services, and the records the Services produce from it.
  • Services: the Logpagia workspace applications, the signing pages, the Pagia assistant and related support.
  • Order: the plan, seats and add-ons the customer selects in the product or in a signed order form.

Accounts and administrators

The customer’s administrators decide who joins the workspace, which roles and permissions each user holds, and which products are enabled. The customer is responsible for those choices and for the actions of its users.

Users keep their credentials confidential, use multi-factor authentication where the customer requires it, and report suspected unauthorized access promptly. Each user account belongs to one person.

Acceptable use

The customer and its users use the Services lawfully and only for the customer’s business. In particular, users agree to:

  • Use only the accounts, records and permissions they are authorized to use.
  • Leave security controls, tenant boundaries and rate limits intact, and refrain from probing other organizations’ data.
  • Keep malware, spam and unlawful, infringing or harmful content out of the Services.
  • Make hiring, pay and employment decisions in line with applicable anti-discrimination and labor law.
  • Send messages to visitors, candidates and signers only for a genuine business purpose and with any consent the law requires.
  • Refrain from copying, reselling, reverse engineering or building a competing product from the Services, except where the law expressly allows it.

Customer Data

The customer owns its Customer Data. The customer grants Logpagia a limited licence to host, copy, process, transmit and display Customer Data only to provide, secure and support the Services and as the customer instructs.

The customer is responsible for the accuracy of Customer Data, for having the right to submit it, and for giving employees, candidates, visitors and signers the notices and obtaining the consents the law requires. Logpagia processes personal data in Customer Data under the data processing terms, which the owner links here before publication.

Logpagia’s property and feedback

Logpagia and its licensors own the Services, including the software, designs and documentation. These terms grant the customer the right to use the Services during the subscription and reserve every other right.

When a customer shares suggestions or feedback, Logpagia may use them to improve the Services with no obligation to the customer.

Confidentiality

Each party protects the other’s confidential information with at least reasonable care, uses it only to perform under these terms, and shares it only with people who need it and are bound by similar duties. Customer Data is the customer’s confidential information.

These duties exclude information that is public through no fault of the receiving party, already known to it, independently developed, or received lawfully from someone else. A party may disclose information when the law requires, after giving notice where the law permits.

Fees, billing, renewal and taxes

Plans, seat prices and AI add-ons are listed on the pricing page or in the order. Paid subscriptions are billed per seat, monthly or annually, through Stripe. Before the customer confirms a change to seats or add-ons, the product shows the price and any prorated amount.

A paid subscription renews automatically for the same billing period until an administrator cancels it. Cancellation takes effect at the end of the current period. Taxes and the billing total are shown at checkout.

If a payment fails, the subscription is marked past due and the billing contact is notified. The refund policy, the currency terms and the consequences of an unpaid invoice are confirmed by the owner before publication.

Free plan and trials

Creating a workspace is free, and the Access plan includes the number of free seats shown on the pricing page. Additional seats and paid plans are billed as the customer confirms them. Logpagia may change free plan limits with advance notice to administrators.

When Logpagia offers a trial of a paid plan, the offer states its length and what happens when it ends.

Pagia and AI features

Pagia is available when an administrator turns it on and accepts the current external processing notice. It answers questions, reads records the user can access, prepares drafts and completes a small set of personal actions, as described on the Pagia AI page.

AI output can be wrong, incomplete or out of date. Users review the source and result before relying on it. Pagia does not run payroll, move money, make hiring decisions, sign documents or change permissions on its own, and the customer remains responsible for decisions made with its help.

Third-party services

Some features work with services the customer chooses to connect, such as payment providers for payroll disbursement, message providers for visitor alerts, and Health applications such as RevMind 360. Those services are governed by their own terms between the customer and the provider.

Logpagia is responsible for its side of each connection. The provider is responsible for its own service and for how it handles data it receives.

Payroll, tax, signatures and professional advice

Payroll calculations use the statutory rules in the country packs Logpagia maintains, including the United States. In a country without a pack the payroll engine calculates gross pay and the deductions the customer configures, with no statutory tax, and says so on the run and the payslip. The customer reviews and approves every payroll run and remains responsible for its filings, tax payments and payments to employees.

Electronic signatures carry an evidence record of each signing step. Whether a signature is valid for a particular document and jurisdiction depends on the law that applies, and some documents require witnesses, notarization or other formalities.

Compliance alerts, templates and Pagia output are information to support the customer’s own decisions and are not legal, tax, accounting or employment advice.

Suspension

Logpagia may suspend access for a user or workspace when needed to stop a security threat, a breach of acceptable use or harm to the Services or other customers, to comply with law, or after notice for an overdue payment. Logpagia limits the suspension to what the situation requires and restores access once the cause is resolved.

Term and termination

These terms apply for as long as the customer uses the Services. The customer may cancel a paid subscription at any time, effective at the end of the billing period, and may close its workspace.

Either party may end the agreement if the other materially breaches it and fails to cure the breach within the period set in the final terms. Sections that by their nature continue, such as confidentiality, fees owed, disclaimers and limitation of liability, survive termination.

Data export on termination

While the subscription is active, administrators can export records from the product areas that offer export, including CRM, accounting, inventory reports and electronic signature audit records, and each member can download a personal data export.

After termination, Logpagia keeps Customer Data available for export for a set period and then deletes or anonymizes it, except where the law requires longer retention. The owner confirms that period before publication.

Changes to the Services

Logpagia improves the Services continually and may add, change or retire features. Logpagia gives administrators advance notice before removing a feature that a paid plan includes. The notice period is confirmed during legal review.

Warranties and disclaimers

Logpagia provides the Services with reasonable skill and care and in line with its published documentation. Each party confirms it has the authority to accept these terms.

Except for these commitments, and to the extent the law allows, the Services are provided as is. Logpagia does not warrant that the Services will be uninterrupted or error-free, or that calculations, alerts or AI output suit a particular purpose without the customer’s review.

Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, arising from these terms.

Each party’s total liability is capped at an amount set in the final terms. This draft proposes the fees the customer paid in the twelve months before the claim as the reference for legal review. The cap amount and its exceptions, such as payment obligations and indemnities, are confirmed before publication.

Indemnities

Logpagia defends the customer against third-party claims that the Services infringe intellectual property rights, and pays resulting damages and costs, subject to the conditions in the final terms.

The customer defends Logpagia against third-party claims arising from Customer Data or from the customer’s use of the Services in breach of these terms or the law. The scope of both indemnities is confirmed during legal review.

Changes to these terms

Logpagia publishes each revision of these terms on this page with its effective date and notifies administrators of material changes in advance. Continued use after the effective date means the customer accepts the revision. The notice period is confirmed during legal review.

Notices

Logpagia sends notices to the workspace administrators and billing contact by email or in the product. The customer sends notices to the address the owner adds here before publication.

Governing law and disputes

The governing law, and the courts or arbitration forum that resolve disputes, are chosen by the owner and added here before these terms take effect.

Entire agreement and general terms

These terms, the order and the data processing terms form the entire agreement between the parties about the Services and replace earlier discussions. If they conflict, a signed order takes precedence, then the data processing terms for personal data, then these terms.

Neither party may assign the agreement without consent, except to a successor in a merger or sale of its business. Neither party is liable for delays caused by events beyond its reasonable control. If a provision is unenforceable, the rest remains in force, and a delay in enforcing a right waives nothing.
